If there is a conflict between these Terms of Use and a signed agreement with Qarizmi, the signed agreement will prevail for the relevant service engagement.

10. Service engagements

Unless otherwise agreed in writing: Qarizmi provides services as an independent service provider and does not act as an employee, agent, legal representative, auditor, insurer, or manager of the client; Qarizmi does not make management decisions on behalf of clients; the client remains responsible for decisions, approvals, implementation choices, internal controls, compliance obligations, and use of deliverables; the client must provide timely, accurate, complete, and lawful information, data, access, feedback, and approvals required for the services; Qarizmi may rely on information provided by the client, public sources, and third parties without independent verification; Qarizmi performs its services with diligence and professional care but does not guarantee a specific result unless expressly agreed in writing; deliverables are intended for the client's internal use in the context of the relevant engagement and may not be shared with third parties without Qarizmi's prior written consent, unless otherwise agreed; the client may rely only on final written deliverables, not on oral comments, drafts, intermediate versions, or non-final materials; and Qarizmi may use subcontractors, partners, experts, technical providers, or collaborators to deliver services and remains responsible to the client for the services as agreed in the applicable contract.

11. Data, AI, and human validation

AI, data, analytics, automation, and machine-learning solutions depend on the availability, quality, representativeness, legality, and governance of the underlying data, as well as the client's processes, systems, users, controls, and adoption.

Outputs from AI or data systems may contain errors, uncertainty, bias, limitations, or unexpected behavior. Clients and users should apply appropriate human review, testing, monitoring, governance, and validation before using outputs for operational, financial, legal, compliance, customer, employment, or other significant decisions.

Unless expressly agreed in writing, Qarizmi does not guarantee that any AI model, agent, workflow, analysis, prototype, product, or recommendation will be error-free, uninterrupted, fully autonomous, compliant for every use case, or suitable for decisions without human oversight.

12. Confidentiality

If you receive non-public information from Qarizmi that is identified as confidential or should reasonably be understood as confidential, you must not disclose it or use it except for the purpose for which it was provided.

Confidentiality obligations relating to a service engagement will be governed by the applicable written agreement between Qarizmi and the client.

13. Disclaimer of warranties

To the maximum extent permitted by applicable law, the website and its content are provided on an "as is" and "as available" basis. 14. Limitation of liability

For service engagements, the limitation of liability will be governed by the applicable written agreement. Unless otherwise agreed in writing, Qarizmi's total liability for any service engagement is limited to the fees actually received by Qarizmi for the relevant engagement.

15. Indemnity

You agree to indemnify and hold Qarizmi harmless from and against any claim, loss, liability, damage, cost, or expense arising from your unlawful use of the website, your breach of these Terms of Use, your misuse of website content, or information you submit without the right to do so.

16. Force majeure
